These General Terms and Conditions are entered into by and between you ("You," "Your," or the "User") and the Joonbug.com domain, as a marketing channel of Skynet Media LLC, and its Organizers as content providers ("we," "us," or "our").

By using our website and all other related products, collectively (the "Site"), you agree to the Terms and Conditions (the "Terms and Conditions" or "Terms") that we (JB”) have presented herein. By visiting, using the Sites, or for accessing the Sites, including without limitation to (i) accessing, using and/or downloading Information, (ii) sending messages, information, data, text, software or images, or other Information to the Sites, or (iii) otherwise using, accessing or purchasing tickets on the Sites (collectively, the “Services”), you agree to accept and abide by these Terms regardless of how you access or use the Site and/or the Services, whether via personal computers, mobile devices or otherwise.

Your access to and use of the Site and/or the Services is subject to these Terms and any modifications issued by us to these Terms and all applicable laws and regulations. BY USING THE SITE AND/OR THE SERVICES, YOU AGREE AND WILL BE DEEMED TO BE BOUND BY THESE TERMS. If you do not want to be bound by these Terms, do not use the Site and/or the Services.

Among other things, JB provides information concerning various products and services and the opportunity to obtain additional information concerning those products and services or to purchase them. The information available on or through the use of the Site or the Services, including but not limited to data, text, articles, content, software, images, graphics, photographs, audio and video clips, links and references, and other materials (collectively, the “Information”) is provided for informational purposes only. JB is not responsible for, nor can it guarantee, the accuracy of the information supplied by its clients and third-party sources. JB serves as an aggregator for information and an intermediary for listing events and tickets from various venues and promoters. Reliance on any Information is solely at your own risk.

Please read the Terms of Use carefully; if you do not wish to agree to the Terms of Use set in this document, please refrain from using the Site. All the Terms below serve as an agreement (“Agreement”) between You and JB and govern Your use of the Site and your User account (“Account”).

The right to use Sites is personal to You and does not include transferring these rights to any other person or entity. JB strives to maintain the confidentiality of all user information, and You shall be responsible for protecting the confidentiality of YOUR account information, including password(s) and other sensitive data. You acknowledge that Internet security can be subject to interruptions in service or events beyond JB's control. Therefore, JB shall not be responsible for any data lost while transmitting information on the Internet. JB provides Site accessibility every day of the week, 24 hours, but may, from time to time, be unavailable without notice for reasons including but not limited to routine maintenance, third-party service outages, connection disruptions, and other unknown and unintentional disruptions.

Access to some areas of the Sites, including but not limited to buying tickets, saving favorites, tracking orders, and downloading images, requires You to register for an Account and provide accurate authentication of yourself as the person interacting with Services. By creating your account, you will be providing information (“User Data” ) that is your responsibility to maintain and keep confidential, including your username, password, and account information. You agree to notify JB immediately of any unauthorized use of User Data or any other security breach and ensure that you exit or log out of your account at the end of each session. JB shall not be liable for any loss, damage, or other liability arising from your failure or negligence to comply with this Section or any unauthorized access to or use of Your Account. In the event of any dispute between Users as to account ownership, You agree that JB shall be the sole judge of such dispute and, in its sole discretion, JB’s decision, which may include termination or suspension of an account subject to dispute) shall be final and binding on all parties.

As a registered User of the Sites, you agree to (i) provide accurate and current complete information User Data about yourself as prompted by the Sites registration forms and account setup forms, (ii) maintain and update User Data to keep it true and accurate. To the extent that You provide untrue, inaccurate, incomplete, or outdated information, or JB has reasonable grounds to suspect that information is not true and accurate, JB, in its sole discretion, has the right to suspend or terminate your Account and refuse any of Your current or future use of the Site or any portion thereof.

In conformance with standard Internal and online commerce norms, in addition to the information you willingly provide, JB may also collect information during Your visit to the Site through our automatic data collection tools, which may include web beacons, cookies, embedded web links, and other commonly used information-gathering tools. These tools collect standard information your browser sends to JB, such as your browser type and language, access times, and the website address from which you arrived at the Site. They may also collect information about your Internet Protocol (IP) address, clickstream behavior (i.e., the pages you view, the links you click, and other actions you take in connection with the Site), and product information. JB may also use some of these automatic data collection tools in connection with certain emails sent from JB and, therefore, may collect information using these tools when you open the email or click on a link contained in the email. To better serve you and present you with relevant data, JB. may obtain your location data. The primary purpose of collecting User experience data is to understand the User’s interests and preferences. If you prefer to keep your location data private, please refrain from using the Site.

JB Users who purchase tickets or use various Site features agree to receive crucial transactional emails, texts, and mobile notifications confirming and/or updating information related to User-generated transactions. JB reserves the right to send You email communications from time to time regarding company updates, technical or administrative issues, legal notices, promotional offers, or other important information about the Site and products and services of JB considered valuable or essential to your continued ability to use them properly “Update Newsletters.”

Users who opt-in to the JB newsletter, the “Newsletter,” or SMS either through Your Account, our Newsletter opt-in page, or during checkout while purchasing Tickets, you acknowledge that you may receive promotional communications and emails from JB. You may opt out of the Newsletter or SMS anytime through your Account.

JB complies with any unsubscribe or opt-out request from Users and does not intentionally send unsolicited emails to anyone who has requested that JB not contact them with such. If you want to stop receiving communications and emails from JB, including Update Emails, please contact us athello@joonbug.com.

To the extent that the Sites allow you to link social media and Google accounts, Google Pay, or Apply Pay, you grant JB permission to access your information per the terms of Our Privacy Policy and third-party regulations.

At its sole discretion, JB shall have the right to change or discontinue any aspect or feature of the Sites, including, but not limited to, the portion of and category OF Information and Content, its hours of service, and transmission methods and speed.

This Site and any individual sites or event producer-specific, reseller affiliate, city-specific, or state-specific sites now or hereinafter contained within or otherwise available through external hyperlinks with our Site (the "Affiliates") are private property. All interactions on this Site and/or the Affiliates must comply with these Terms. Although we welcome and encourage user interaction on our Site, we insist and require that all activity in connection with the use of the Site and the Affiliates is for lawful purposes only. You shall not post or transmit any material that violates or infringes in any way upon the rights of others or any material that is unlawful, threatening, abusive, defamatory, invasive of privacy or publicity rights, vulgar, obscene, profane or otherwise objectionable, which encourages conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate any law, or which, without JB’s expressed prior, written approval, contains advertising or any solicitation concerning products or services. Any conduct by a User that, in JB’s exclusive discretion, restricts or inhibits any other User from using or enjoying this Site and/or any Affiliates is strictly prohibited. User shall not use this Site or any of the Affiliates to advertise or perform any commercial, religious, political, or non-commercial solicitation, including, but not limited to, the solicitation of Users of this Site and/or the Affiliates to become Users of other online or offline services directly or indirectly competitive or potentially competitive with JB.

Attendees to live events must abide by the rules and policies of the venue, promoter, and anyone responsible for the Event. Failure to follow such rules and policies may lead to consequences against you, the attendee, and/or the original ticket buyer. If you or another person using the Ticket you purchased from Us fails to abide by those rules and policies, you are responsible for all applicable fines and legal or other expenses associated therewith. If you are asked to leave the Event or you miss part of the Event due to suspected or confirmed inappropriate behavior, you will not qualify for a refund or any other compensation. Further, should any violation result in the loss of ticket rights or right to use any other Tickets at that venue, or the right to purchase other Tickets from that venue, you shall be held liable for all reasonable costs, expenses, and losses associated with said loss including, but not limited to, all direct, indirect, vicarious, consequential, exemplary, incidental, special or punitive damages, including lost profits.

You agree to refrain from:

• Engaging in spam or phishing activities
• Transmitting content that is:
  • Fraudulent or deceptive
  • Threatening, abusive, or harassing
  • Vulgar, obscene, or indecent
  • Discriminatory (e.g., sexist, racist)
  • Defamatory or libelous
  • Invasive of others' privacy
  • Infringing on intellectual property rights
• Sharing material nonpublic information about companies without authorization
• Disclosing trade secrets belonging to third parties
• Do not post:
  • Advertisements
  • Solicitations
  • Chain letters
  • Pyramid schemes
  • Investment opportunities
  • Other unsolicited commercial communication

Do not restrict or inhibit other visitors from using the Site and/or Services, including by:

• "Hacking"
• Defacing any portion of the Site and/or Services

Do not submit software or materials containing:

• Viruses
• Worms
• Trojan horses
• Defects
• Date bombs
• Time bombs
• Other destructive items

Do not claim or imply that we endorse your statements without our prior written consent. Do not manipulate identifiers, including forging headers, to disguise the origin of your submissions. Do not "frame" or "mirror" any part of the Site. Do not modify, adapt, sublicense, translate, sell, reverse engineer, decompile, or disassemble any Site portion. Do not attempt to derive source code or underlying ideas or algorithms of any part of the Content. Do not remove copyright, trademark, or other proprietary rights notices from the Site.

User Prohibited Actions:

1. Automated Access and Data Retrieval:
   • Do not use any automated tools or processes to - a) Retrieve, index, or data mine the Site's content, b) Circumvent the Site's security or navigation structure, c) Alter the presentation of the Site's content
   • This includes, but is not limited to: • Computer programs • Bots • Robots • Spiders • Offline readers • Site search/retrieval applications
2. CAPTCHA Circumvention:
   • Do not use manual or automatic methods to bypass CAPTCHAs displayed on the Site.
3. Automated Purchasing and Reservation:
   • Do not use automated software or computer systems to: a) Search for items b) Reserve items, c) Purchase items, d) Obtain discount codes, promotional codes, vouchers, credits, or gift cards
   • This prohibition includes sending information from one computer to another where such software or systems are active.

Exceptions:

1. Public Search Engines:
   • Operators of public search engines may use spiders to copy materials from the Site, but only a) For creating publicly available searchable indices and b) To the extent necessary for this purpose
   • This exception does not extend to creating caches or archives of materials.
   • We reserve the right to revoke this exception at any time and require the removal of previously archived materials.

User agrees not to:

1. Overload our system: Don't use the site in ways that could strain our infrastructure excessively.
2. Excessive page refreshing: Refrain from refreshing transaction or ticketing pages more than once every 3 seconds.
3. Page request limits:
   • Don't access more than 1,000 pages within 24 hours.
   • Don't make more than 800 ticket reservation requests within 24 hours. These limits apply to individual users or groups working together.
4. Content restrictions:
   • Don't copy, change, show publicly, distribute, or create new versions of our site or its content.
   • Don't reproduce or scan tickets in any format other than what we provide.
5. Technical restrictions:
   • Refrain from trying to decode, modify, or reverse engineer tickets, barcodes, or any algorithms used on the site.
   • Don't use automated software (bots) to search for, reserve, or buy tickets.
   • Don't bypass security measures or controls that enforce ticket purchase limits or rules.
6. Data collection: Only gather information about site visitors or members with clear permission.

You represent that you are of legal age, competent, and fully able to form a binding contract and terms, conditions, obligations, affirmations, representations, and warranties set forth herein. You must be at least 18 to be eligible to use the Site. However, if you are at least 13 years old but not yet 18, you may use the Site with your parent or guardian who agrees to this Agreement. No one under the age of 13 may use the Site independently.

You agree to comply with all applicable domestic and international laws, statutes, ordinances, and regulations regarding your use of the Site and/or the Services.

Tickets purchased on the Site are typically subject to a per-ticket service fee ("The Fee" or "Fee"). The Fee is non-refundable under any circumstances. In the event of a refund, you will typically be refunded the face value of the Ticket less the Fee you paid in addition to the face value.

Upon a successful purchase of Tickets, RSVP, Guestlist, or deposit, You will view an online and receive an email confirmation ("Confirmation") from JB or Sites containing your order number ("Order Number") and an E-Ticket QR code to be scanned to allow entry. If you do not receive Confirmation or an Order Number after submitting your payment information, or if you experience an error message or service interruption after submitting payment information, it is your responsibility to confirm with JB Customer Service whether or not your order has been placed and fully processed. Only You may be aware of any problems during the purchase process. JB will not be responsible for losses (monetary or otherwise) if you assume that an order was not placed because you failed to receive confirmation. Your Ticket is only guaranteed once you receive such confirmation. Even if tickets are present in your cart checkout, they are only guaranteed once you receive confirmation of your purchase. If you have attempted to purchase Tickets and are unsure if your payment and order have been confirmed, please contact hello@joonbug.com.

Events may be canceled or postponed by the venue, partner, third party, or organizer. Should this occur, JB customer service will attempt to contact you to inform you of refund or exchange procedures for that Event. The procedures are at the sole discretion of the Organizer. Check the Event information online or contact JB customer service for instructions on canceled or postponed events. Per the JB Refund Policy, refunds will be issued to the credit used to purchase the Ticket. If your credit card has expired, we cannot issue a refund.

JB and Sites will not be liable for travel or any other expenses that you or anyone else incurs in connection with a canceled or postponed Event.

As the ticket buyer or guest in receipt of an E-Ticket from the original ticket buyer, You are solely responsible for the security of your E-Tickets. If you lose, damage, or have your E-Tickets stolen, have your account hijacked, or your E-Ticket duplicated, JB is not responsible or liable for refunds or damages due to your failure to maintain security, mishandling, or misuse of Tickets. Under no circumstances will a replacement Ticket be issued for damaged, lost, stolen, destroyed, hijacked, or otherwise unusable tickets

When purchasing tickets on our Site, you are limited to a specified number of tickets for each event (also known as a “ticket ceiling”). This ticket ceiling is indicated in the quantity dropdown field during purchase and is verified with every transaction. This policy is, in effect, to discourage unfair ticket-buying practices. We reserve the right to cancel any or all orders and tickets without notice if you exceed the posted limits. This includes orders with the same name, e-mail address, billing address, credit card number, or other information.

Before purchasing Primary Tickets, carefully review the Event and ticket type choices to ensure your purchase is correct. All sales are final sale and non-refundable. Please read the Refund Policy; Refunds for officially canceled events will be issued based on the ticket’s face or discounted value paid. Fees and delivery charges are not refunded. Refunds will be issued to the credit used to purchase the Ticket.

Delivery methods ("Delivery Methods" or "Delivery") to events vary, including e-tickets, guest list, rsvp, and deposits for table service and table service bookings. The Delivery Methods are displayed during Checkout, and it is up to you to read and understand the Delivery Method for your event. Our confirmation will also indicate the delivery method. If you have difficulty gaining admission to an Event, contact us immediately by calling 646-722-8082. If the issue you are experiencing is not resolved and you are denied admission, you must obtain proof from the venue verifying that you were denied entry and send that to hello@joonbug.com, preferably at the time of denial or within 24 hours. Proof can be a photo image, voice recording, or other verification.

The JB and AFFILIATE Sites and the Services are controlled and operated from their facilities in the United States and conform to the laws in the US. JB makes no representations that the Site or the Services are appropriate or available for use in other locations. Those who access or use the Site or the Services from other jurisdictions do so at their own volition and are entirely responsible for compliance with all applicable United States and local laws and regulations, including but not limited to export and import regulations. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or the U.S. Government has designated that as a “terrorist supporting” country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

You assume all risks incidental to the Event for which a Ticket is issued, whether before, during, or after the event, and you waive any claims for personal injury or death against JB, Skynet Media, and our Affiliates on behalf of yourself, and any accompanying minor.

No Redemption Value. Events organizers reserve the right, without refund of any amount paid, to refuse admission to, or eject, any person whose conduct management deems disorderly, who uses vulgar or abusive language, or who fails to comply with an organizer’s or venue’s rules. A breach of terms or rules will terminate your license from attending the Event without a refund. A Ticket is a revocable license, and admission may be refused if the organizer or venue considers the ticket holder or guests to have breached Proper User behavior. A denial or ejection from an event doesn’t entitle the ticket holder to a refund and constitutes a waiver of the holder's right to chargeback.

You Are Subject to Search. You and your belongings may be searched on entry to Events you attend. You consent to such searches and waive any related claims that may arise. You may be denied entry to the Event without refund or other compensation if you do not consent to such searches. Under specific facility rules, certain items may not be brought into the premises, including alcohol, drugs, controlled substances, cameras, recording devices, bundles, and containers.

A Ticket shall not be used for advertising, promotions, contests, or sweepstakes unless the Organizer gives formal written authorization, provided that even if such consent is obtained, any use of JB’s trademarks and other intellectual property is subject to JB’s sole consent. To obtain such permission, please contact hello@joonbug.com

If you dispute a charge and it is determined that the charge was valid and not the result of credit card or other payment fraud, We have the right to (i) seek payment, including all associated fees, by whatever means necessary, including using collection agencies and legal proceedings; and (ii) refuse to honor pending and future ticket purchases made from your Account, all credit card accounts, and/or online accounts on which such chargebacks have been made, and may prohibit future purchases from all persons in whose name the credit card accounts exist and any person who accesses any associated online account or credit card or who otherwise breaches this provision from using the Site.

When pricing errors occur, we shall not be liable to you. To avoid doubt, if a ticket is subject to a pricing error, we may offer you the Ticket at the corrected price. If the corrected price is unacceptable, we will allow you to cancel your order.

Your admission ticket(s) to your selected event may be delivered via an E-Ticket, guest e-list confirmation, or table e-booking reservation. A copy of your electron “E” and Order Confirmation have been emailed to you. You may also click the link at the top of the online Order Confirmation to display your E-entry ticket.

Go directly to the venue for admission. If you are the purchaser, be prepared to present your credit card, government-issued photo ID, and either a printout or mobile display of your E-Ticket to the ticket taker for security purposes. Guests and members of your group only need to present their E-Ticket and the government-issued photo ID.

Do not allow anyone else to access this ticket, this link, or the physical E-ticket. Each E-ticket has a unique QR code explicitly attached to the order. This security measure ensures that only you may use your E-ticket.

If the E-ticket is printed more than once, the first guest presenting the printed E-ticket and barcode with valid ID and CREDIT CARD will be admitted, and any other guests presenting a duplicate E-Ticket will be denied access. By accepting an E-Ticket, you acknowledge that the security of the ticket is your obligation. If YOU ARE REFUSED ADMISSION BECAUSE SOMEONE ELSE HAS PRINTED a duplicate of this ticket, it is not grounds for a refund.

If, for any reason, you feel that security has been breached and that your E-ticket may be compromised, call us immediately at 646722-8072, and we will void the E-ticket and issue a replacement E-ticket. Please have all party members arrive with you to facilitate ease of entry. You may be asked to wait for the whole party to arrive to be admitted. If anyone prints a duplicate of this ticket, it is not grounds for a refund.

Required forms of acceptable photo identification are a U.S. Driver’s License or ID card, a U.S. Military ID, a U.S. Passport, and a Canadian Driver's License. International visitors must have a government-issued Passport; regrettably, no other form of international identification is valid.

We, JB, reserve the right at all times to discontinue or modify any of our T&C and/or our Privacy Policy as we deem necessary or desirable. Such changes may include, among other things, the addition of specific fees or charges. If JB makes any substantial changes, we will notify you by sending you an e-mail to the e-mail address registered with your account and/or by posting notice of the change on the Site. Any changes to these T&Cs will be effective upon an email notice to you or our posting of the changes on our Site, provided that these changes will not apply to Offers and/or Event Tickets purchased before the effective date of such changes. These changes will be effective immediately for new users of our Site and any Deals purchased by such new users. Please occasionally re-read this important notice containing our T & C and Privacy Policy to stay informed about any such changes. Any use of the Site by the User after such notice shall constitute acceptance by the User of such modifications. No modification to these Terms by any party other than JB shall be valid or enforceable against JB unless expressly agreed to by JB in writing and signed by a duly authorized officer of BD.

Content located on or in this Site, including the Affiliate, is the exclusive property of JB or is used with the express permission of the copyright and/or trademark owner. ANY COPYING, DISTRIBUTING, TRANSMITTING, POSTING, LINKING, DEEP LINKING, OR OTHERWISE MODIFYING OF THIS SITE OR ANY OF THE MICROSITES WITHOUT THE EXPRESS WRITTEN PERMISSION OF JB. IS STRICTLY PROHIBITED. Any violation of this policy may result in a copyright, trademark, or other intellectual property right infringement that may subject the User to civil and/or criminal penalties.

This Site and any Affiliate contain copyrighted material, trademarks, and other proprietary information, including, but not limited to text, software, photos, video, graphics, music, and sound, and the entire contents of the Site are protected by copyright as a collective work under the United States copyright laws. JB owns a copyright in the selection, coordination, arrangement, and enhancement of such content and in original content. Users may not modify, publish, transmit, participate in the transfer or sale, create derivative works, or exploit any content in whole or in part. Users may download, print, and/or save copyrighted material for the User’s personal use only. Except as otherwise expressly stated under copyright law, no copying, redistribution, retransmission, publication, or commercial exploitation of downloaded material without the express permission of JB or the copyright owner is permitted. If copying, redistribution, or publication of copyrighted material is permitted, no changes in or deleting author attribution, trademark legend, or copyright notice shall be made. User acknowledges that he/she/it does not acquire ownership rights by downloading copyrighted material. Trademarks that are located within or on the Site or an Affiliate otherwise owned or operated in conjunction with JB shall not be deemed to be in the public domain but rather the exclusive property of JB or the permitted owner, unless such site is under license from the Trademark owner thereof, in which case such license is for the exclusive benefit and use of JB unless otherwise stated.

Users shall not upload, post, or otherwise make available on this Site any material protected by copyright, trademark, or other proprietary right without the express permission of the owner of the copyright, trademark, or other proprietary right. JB does not have any express burden or responsibility to provide User with indications, markings, or anything else that may aid User in determining whether the material in question is copyrighted or trademarked. Users shall be solely liable for any damage resulting from any infringement of copyrights, trademarks, proprietary rights, or any other harm resulting from such a submission. By submitting material to any public area of this Site or any Affiliate, User warrants that the owner of such material has expressly granted JB the royalty-free, perpetual, irrevocable, non-exclusive right and license to use, reproduce, modify, adapt, publish, translate and distribute such material (in whole or in part) worldwide and/or to incorporate it in other works in any form, media or technology now known or hereafter developed for the full term of any copyright that may exist in such material. User also permits any other end user to access, view, store, or reproduce the material for that User’s personal use. User hereby grants JB the rights to edit, copy, publish, and distribute any material made available on this Site or any Affiliate by User. The foregoing provisions of this Section apply equally to and are for the benefit of JB, its subsidiaries, affiliates, merchants, and third-party content providers.

These Terms are effective until JB terminates them. JB may terminate these Terms without notice and at any time. In the event of termination, you are no longer authorized to access the Site and/or the Services and the restrictions imposed on you concerning the Content, the Information, the disclaimers, indemnities, limitations of liabilities, and the right to a jury trial outlined in these Terms shall survive termination. JB shall also have the right without notice and at any time to terminate the Site and/or the Services or any portion thereof, or any products or services offered through BD, the Site and/or the Services, or to terminate any individual’s right to access or use the Site and/or the Services or any portion thereof

WE, JB, THE COMPANY DIRECTORS, OFFICERS AND STAFF, AND CONSULTANTS OR OTHER REPRESENTATIVE ARE NOT RESPONSIBLE OR LIABLE FOR ANY INDIRECT OR UNEXPECTED DAMAGES FOR THE USE OF OUR WEBSITE, SERVICES, OR LINKED SITES OR ANY CONTRACTED SERVICES RELATED TO ATTENDANCE AT TICKETED, BOOKINGS, GUESTLIST EVENTS. LIMITATION OF LIABILITY INCLUDES BUT IS NOT LIMITED TO INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE OR OTHER DAMAGES OR LIABILITIES UNDER ANY CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHER THEORY ARISING OUT OF OR RELATING IN ANY MANNER TO THE SITE. THE INFORMATION, SERVICES, AND/OR ANY LINKED SITE, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES OR LIABILITIES. THE MOST WE’LL EVER PAY, MAXIMUM LIABILITY, TO YOU FOR DAMAGES, NO MATTER WHAT CAUSED THEM, IS THE AMOUNT YOU PAID TO USE OUR SITE OR SERVICES. Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you.

You agree to fully indemnify, defend, and hold JB, any of JB’s Representatives, and their directors, officers, employees, consultants, and other representatives harmless from and against any and all claims, damages, losses, costs (including reasonable attorneys’ fees) and other expenses that arise directly or indirectly out of or from your breach of these Terms and/or your activities in connection with the Site.

None of JB or JBs Representatives are or will be liable for any losses caused directly or indirectly as a result of causes or events beyond the control of JB, including natural disasters, acts of God, pandemics, war, terrorism actions, DNSSEC attacks, or decrees of governmental bodies, exchange or market rulings, failure of the Internet, communication lines or utility systems, equipment and systems failures, unauthorized access, and theft (each, a “Force Majeure Event”). All of the obligations of JB and JB’s Representatives concerning the affected elements under these Terms will be suspended for the duration of such Force Majeure Event.

By using this Site, User agrees that: (1) any claim, dispute, or controversy User may have against JB arising out of, relating to, or connected in any way with this Agreement, this Site, or any Microsite, or the purchase or sale of any Tickets shall be resolved exclusively by laws of New York State by bringing a lawsuit in any court in the County of New York with a right to a jury trial. You may resolve disputes with us only as an individual and may not bring a claim as a plaintiff or class member in a class action.

By using the sites, its services, and purchasing tickets, the User is asked to affirmatively indicate, “I Accept” or “I agree” (Acceptance Terms”), which is a legally binding electronic signature. You agree that you have had an opportunity to review the Terms and that you knowingly form a binding contract between you and JB; you agree the Terms are the legal equivalent of a signed, written contract and that you acknowledge access and review of the Terms via a hyperlink to the webpage displaying the terms and hereby certify that you are an authorized representative authorized by law.
